Terms of Service
Terms, written to be read.
Effective Last updated
These Terms are the agreement between your business and Aethric LLC for using Anthenos, the AI operator for customer and procurement portals.
Important reliability warning: Anthenos is experimental and should not be treated as reliable or production-ready for business-critical work. It may fail, produce incorrect information, miss deadlines, or perform an action incorrectly. Do not depend on Anthenos as your sole system for invoices, purchase orders, payments, or legally or financially significant obligations. Independently verify all results in the original system and keep your own records.
Connect only portals and systems you are authorised to use. You control your business decisions and any approvals you give. Automated checks and confirmations may themselves be incomplete or incorrect.
Acceptance of these Terms
These Terms of Service (“Terms”) are an agreement between Aethric LLC (“Aethric”, “we”, “us”) and the business or organization that uses Anthenos (“Customer”, “you”). By creating an account, starting a plan or using Anthenos, you accept these Terms.
The Acceptable Use Policy and, where it applies, the Data Processing Addendum are part of these Terms. The Privacy Policy explains how we handle personal information, and Cancellation and Refunds explains cancelling and charges in more detail. If you and Aethric sign a separate written agreement for Anthenos, that agreement controls where it conflicts with these Terms.
Eligibility and authority
- Anthenos is for business use. It is not offered to consumers.
- You must be at least 18 years old and able to form a binding contract to create an account.
- If you accept these Terms for a business or organization, you confirm that you have authority to bind it, and “you” means that organization.
- You may not use Anthenos if you are barred from doing so under applicable law, including sanctions and export laws.
Business accounts
- Anthenos is organised into workspaces. The person who creates a workspace is its owner, and owners and admins manage its members, roles, settings and plan.
- Give accurate account information, including your real name and a work email address, and keep it up to date.
- You are responsible for the people you give access to your workspace, and for what they do in it.
Account security
- You sign in with an email address and password, or with “Continue with Google”. Keep your sign-in details confidential, and do not share an account between people.
- You are responsible for activity under your account. Tell us promptly at hello@aethric.llc if you believe your account or a connected system has been accessed without authorisation.
- There is no emailed password reset today. If you cannot sign in, write to hello@aethric.llc.
The Anthenos service
Anthenos is an AI operator for the customer and procurement portals that suppliers, manufacturers, distributors and other businesses work in. It handles routine portal work — such as acknowledging purchase orders, submitting invoices, uploading shipping and fulfilment information, and checking order, invoice, shipment and payment statuses — detects exceptions, asks a person to approve sensitive actions, and keeps a record of everything it does.
Depending on your plan, your configuration and the portal involved, Anthenos may:
- acknowledge purchase orders;
- submit invoices;
- upload shipping or fulfilment information;
- check order, invoice, shipment and payment statuses;
- process other routine portal workflows;
- detect exceptions, such as a price, quantity or date that does not match;
- request a person’s approval before sensitive actions;
- keep execution records and an audit trail of what it did and why.
Which portals and workflows Anthenos supports changes over time, and differs between portals. The product shows what it can do in each portal you add; we do not promise that any particular portal, method or workflow is or will remain supported. We may change, add or remove features, and will not materially reduce the core functionality of a paid plan during a billing period you have already paid for.
Connected systems
You may connect Anthenos to customer and procurement portals, ERP systems, email, APIs and other business systems, and give it the sign-ins, keys or permissions it needs to work in them. You choose what to connect, and you can disconnect a system or remove its credentials at any time. Some connections are made through third-party providers, as the Privacy Policy and the Subprocessors page describe.
Customer data
“Customer Content” means the data you or your users provide to Anthenos, or that Anthenos accesses for you in connected portals and systems — such as purchase orders, invoices, shipment information, documents and portal records — together with the results Anthenos produces from it for you.
- As between you and Aethric, you own Customer Content. We do not claim ownership of it.
- You grant Aethric a worldwide, non-exclusive, limited licence to host, copy, process, transmit and display Customer Content only as needed to provide, secure and support Anthenos for you, to comply with law, and for other purposes you agree to in writing.
- We do not sell Customer Content, use it for advertising, or use it to train AI models.
- You are responsible for the accuracy and legality of Customer Content and for having the rights and notices needed for us to process it. Where Customer Content includes personal information, the Data Processing Addendum applies.
- You can export your data from Settings, and delete your account and workspace there, as the Privacy Policy describes.
We may collect and use information about how the service performs — such as error rates, usage volumes and timings, which does not identify you or reveal Customer Content — to operate, secure and improve Anthenos.
Important: Anthenos is not reliable for critical work
Anthenos is an experimental, developing software service. It is not currently a reliable or production-ready way to manage critical business operations. It may be unavailable, malfunction, misread information, omit work, repeat an action, submit incorrect data, or show a misleading success or verification result.
Do not rely on Anthenos to satisfy invoice, purchase-order, delivery, payment, reporting, contractual, legal or regulatory deadlines. Keep a human-operated backup process, check the source portal and your independent records before relying on any result, and confirm directly with the relevant counterparty where necessary. A displayed “completed” status, confirmation, approval request or audit log is not conclusive evidence that an external system accepted or processed a transaction.
Some advertised or planned portal integrations and actions may not be implemented, enabled or verified for real customer accounts. Availability in a demonstration or test environment does not mean the same function is available in a production Coupa, SAP Ariba or other supplier account. Do not provide credentials or initiate transactions unless the product explicitly supports your particular connection and you are authorised to use it.
AI-assisted processing
Anthenos uses AI models, including models provided by third parties, to interpret documents, understand portal interfaces, classify work, detect exceptions and help complete workflows. You authorise us to process Customer Content with these models for those purposes, as the Privacy Policy describes.
AI output can be incomplete, wrong or misleading. Read-back checks may be absent, incomplete or wrong too. Human approval does not establish that an operation is accurate, safe or accepted by an external portal. Independently verify the result before relying on it.
Human approvals and sensitive actions
- Some workflows require a person to review and approve an action before Anthenos takes it. Your workspace’s policy decides which actions run automatically and which wait for approval, within limits Anthenos sets that a workspace cannot relax.
- Anthenos may pause any workflow, or require human approval for any action, that it considers sensitive, unusual or inconsistent with your records — for example a changed price, quantity or bank detail — even where your policy would otherwise let it run.
- You remain responsible for the decisions you or your users approve, and for actions your policy allows Anthenos to take automatically.
- Anthenos’s checks are designed to catch common problems, but we do not promise that every sensitive action, error or exception will be caught automatically.
Automation risk
Automated software working in other companies’ systems can encounter, among other things:
- portal interfaces that change without notice;
- incorrect, incomplete or late data from upstream systems or documents;
- third-party downtime, slowness or errors;
- CAPTCHAs, multi-factor prompts and other security controls;
- unexpected exceptions and edge cases.
Anthenos is not dependable for unattended or business-critical processing. A workflow can fail, be delayed, be performed more than once or appear complete without the expected external result. Checks and failure notices can also fail. You must independently check the external system and maintain a manual fallback. Anthenos will not attempt to bypass a CAPTCHA or other security control; it stops and asks a person.
Customer responsibilities
- Configure your workspace, policies and approval rules to suit your business.
- Review exceptions and approval requests promptly and carefully.
- Keep your own records of legally or financially significant transactions, and reconcile them against your systems and your customers’ portals.
- Keep the credentials and permissions you give Anthenos current and appropriate.
- Tell us promptly if you believe Anthenos has done something it should not have.
Financial and business transactions
Anthenos assists with operational workflows. It is not a bank, payment service, accounting firm, law firm, financial adviser, tax adviser or procurement authority, and does not give financial, accounting, legal or tax advice. Customers remain responsible for reviewing their own business records and legally significant transactions, including the purchase orders they accept and the invoices they submit.
Acceptable use
Use Anthenos only as the Acceptable Use Policy allows. Do not copy, resell or sublicense Anthenos, reverse engineer it except where the law allows, or use it to build a competing product.
Third-party portals and services
- Customer portals, procurement platforms, ERP systems, email providers, model providers and other third-party services are provided by their owners under their own terms. Aethric is not responsible for a third-party portal or service being unavailable, changing its systems, suspending or ending your access, or rejecting a transaction.
- Third-party names, logos and trademarks — including Coupa, SAP Ariba, Oracle, Jaggaer, Ivalua and Workday — are the property of their respective owners. Their appearance on our website or in Anthenos describes compatibility or examples of where suppliers work, and does not imply endorsement, sponsorship or affiliation, unless we say otherwise about a specific partnership.
Fees and subscriptions
The plans and their prices are on the price list. Today the self-serve plans are:
| Plan | Monthly | Annual |
|---|---|---|
| Essential | $29 a month | $290 a year |
| Work | $99 a month | $990 a year |
| Company | $299 a month | $2,990 a year |
Private is arranged with us directly: write to hello@aethric.llc. What it includes and what it costs are agreed in writing.
- Free. Creating an account puts the workspace on Free, not on a trial or a paid plan, and nothing is charged for it. Free includes one real task with a limited usage allowance, once for the workspace; no card is taken, and it does not reset.
- Confirming. Before you are sent to pay, Anthenos shows the plan, its price and how often it is charged, the trial, what is charged today and from when paid billing begins, and asks you to tick a box agreeing to these Terms. Nothing is started until you do. Payment is taken by Stripe, on Stripe’s checkout.
- Usage. Each plan includes a monthly usage allowance, shown in Anthenos as a percentage. Anthenos tells you when 80% is used. When it reaches 100%, Anthenos pauses new work until the next month’s allowance begins; work already under way finishes the step it is on. Nothing extra is charged, and extra usage is not sold.
- Failed payments. If a renewal payment fails, Anthenos pauses new work until the invoice is paid.
- Price changes. We may change prices for future billing periods. We will tell you before a change applies to your subscription, and you can cancel before it does.
- Currency. Fees are charged in the currency shown at checkout.
Trials
Essential, Work and Company each come with a 7-day free trial of that plan, on the term you chose, monthly or annual.
- A card is required. The trial starts only when Stripe’s checkout for that plan and term is completed with a valid payment method and Stripe confirms the subscription. Creating an account, choosing a plan or confirming these Terms does not start a trial, and neither does a checkout that is abandoned or fails.
- Nothing is charged during the trial. When it ends, the plan starts and the card is charged its price, unless you cancel before then, in which case nothing is charged.
- A trial includes a limited usage allowance. A workspace has one trial: once it has been used — its days or its allowance — choosing a plan starts it at Stripe’s checkout, which charges your card that day.
Renewals
A plan renews automatically every month or every year, depending on the term you chose, and your card is charged the plan’s then-current price at each renewal until the plan is cancelled. An annual plan is charged for the whole year, up front.
Cancellation
A workspace owner or admin cancels in Billing with Cancel plan (Cancel trial, during a trial): one confirmation, and it is done. Nobody needs to be contacted. While a payment is outstanding, the plan is settled in Manage plan on the Billing page, where the card can be updated or the plan cancelled.
A cancelled plan stays active until the end of the period already paid for, and then ends. It does not renew and is not charged again. A trial cancelled before it ends is never charged. Its plan stays available until the trial’s end date, and then ends. Until it ends, an owner or admin can resume it from Billing, and it carries on as before.
When a plan ends, Anthenos stops starting new work in the workspace, and the workspace’s data stays until it is deleted. Cancelling does not refund the period already paid for. Anthenos does not issue refunds automatically; see Cancellation and Refunds.
Taxes
Prices do not include taxes unless the price list or checkout says they do. You are responsible for any sales, use, value-added, goods and services or similar taxes on your purchase, other than taxes on Aethric’s income. Where we are required to collect a tax, it is shown at checkout or on your invoice.
Intellectual property
Aethric and its licensors own Anthenos — the software, the website, the models and rules Anthenos uses to work in portals, its documentation, and the Anthenos name and logo — and all intellectual property in them. Subject to these Terms and payment of the applicable fees, we give you a limited, non-exclusive, non-transferable right to use Anthenos for your internal business purposes during your subscription. Nothing in these Terms transfers ownership of Customer Content to us, or of Anthenos to you.
Feedback
If you send us suggestions or feedback about Anthenos, we may use them without restriction or obligation to you. Feedback does not include Customer Content.
Confidentiality
Each of us may receive non-public information from the other that is marked confidential or that a reasonable person would understand to be confidential, including Customer Content and the non-public parts of Anthenos. The receiving party will use it only to perform under these Terms, protect it with at least reasonable care, and disclose it only to its personnel, contractors, advisers and service providers who need it and are bound by similar duties, or where the law requires (with notice to the other party where the law allows). These duties do not cover information that is or becomes public through no fault of the receiving party, was already lawfully known to it, or is independently developed.
Security
We maintain reasonable administrative, organizational and technical safeguards designed to protect Customer Content, as the Security page describes. You are responsible for securing your own devices, accounts and systems, and for the credentials you give Anthenos. If we become aware of a security incident that affects your Customer Content, we will notify you without undue delay, as the Data Processing Addendum describes.
Service availability
Anthenos may be down, unreachable or nonfunctional, including without advance notice. We do not currently offer a service-level agreement, uptime commitment, response-time commitment or promise of uninterrupted operations for self-serve plans. Do not use it as the sole way to meet a deadline or fulfil a business obligation. Any separate service commitment applies only if it is agreed in a signed agreement.
Beta and experimental features
The service as a whole is currently experimental, not only features explicitly marked beta, preview or early access. Features and supported portals may be incomplete, may not function on real external accounts, and may change or be withdrawn. Do not assume that a sandbox test proves real-world reliability or correctness. Review and independently verify every consequential result.
Suspension
We may suspend your access to Anthenos, pause workflows or disconnect a system, without liability, if we reasonably believe that: you have breached these Terms or the Acceptable Use Policy; your use poses a security risk or could harm Anthenos, other customers or a third party; a portal or system owner has withdrawn the authority your use depends on; payment is overdue; or the law requires it. Where practical we will tell you first and give you a chance to fix the problem, and we will restore access once it is resolved.
Termination
- You may stop using Anthenos at any time, cancel your plan in Billing, and delete your account in Settings once any paid plan is cancelled.
- We may terminate these Terms or your account if you materially breach them and do not fix the breach within 30 days of notice, immediately for a serious breach of the Acceptable Use Policy, or if we stop offering Anthenos, with reasonable notice.
- When these Terms end, your right to use Anthenos ends. Before your workspace is deleted, you can export your data from Settings. We delete Customer Content as the Privacy Policy and the Data Processing Addendum describe.
- The sections on customer data, fees owed, intellectual property, feedback, confidentiality, disclaimers, limitation of liability, indemnification, governing law and general terms survive termination.
Disclaimer of warranties
Except as expressly stated in these Terms, Anthenos is provided “as is” and “as available”. To the fullest extent the law allows, Aethric disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement, and any warranty that Anthenos will be reliable, production-ready, uninterrupted, error-free or secure, that every operation will succeed, or that AI output, status indicators or results will be accurate or complete. This disclosure does not limit any legal obligations that cannot be disclaimed.
Limitation of liability
To the fullest extent the law allows: (a) neither party is liable to the other for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, business or data, however caused, even if advised of the possibility; and (b) each party’s total liability arising out of or relating to these Terms or Anthenos is limited to the fees you paid Aethric for Anthenos in the 12 months before the event giving rise to the claim, or US $100 if you have paid nothing.
These limits do not apply to your payment obligations, to either party’s indemnification obligations, or to liability that cannot be limited by law. Nothing in these Terms takes away rights you have under law that cannot be taken away by contract.
Indemnification
You will defend and indemnify Aethric and its officers, personnel and agents against any third-party claim, and the resulting losses, damages and reasonable costs, arising from: Customer Content; your use of Anthenos in a portal, account or system you were not authorised to use or to connect; your breach of these Terms, the Acceptable Use Policy or a third party’s terms; or actions you or your users approved or configured Anthenos to take. Aethric will tell you promptly about the claim, let you control its defence and settlement (you may not settle in a way that admits fault on Aethric’s behalf without its consent), and give you reasonable help at your expense.
Governing law
These Terms are governed by To be confirmed by Aethric LLC: the law that governs these Terms, and where disputes are heard, without regard to conflict-of-laws rules.
Changes to these Terms
We may update these Terms as Anthenos and the law change. The dates at the top of the page say when the current version took effect and when it last changed. If a change is material, we will tell account holders in the product, or by other reasonable means, before it takes effect. If you do not agree to the change, you may cancel before it applies to you; continuing to use Anthenos after it takes effect means you accept it.
General
- These Terms, with the documents they include, are the whole agreement between you and Aethric about Anthenos, and replace any earlier understanding about it.
- If any part of these Terms cannot be enforced, the rest stays in effect. A failure to enforce a term is not a waiver of it.
- You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition or sale of all or part of our business.
- Neither party is liable for a delay or failure caused by events beyond its reasonable control.
- The parties are independent contractors.
